Tuli Terms of Service and Privacy Policy

Welcome to Tuli! Tuli is a private social media application designed for individuals and their close friends to share photos, videos, and collaborative albums, along with group chats tied to each album. By accessing or using the Tuli app (the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy (together, this "Agreement"). If you do not agree to these terms, please do not use the Service.

This Agreement is a legally binding contract between you ("you," "your," or "User") and Tuli Inc. ("Tuli," "we," "us," or "our"). We reserve the right to modify this Agreement at any time, and such changes will be effective upon posting the updated version in the app or on our website. Your continued use of the Service after any changes constitutes acceptance of the revised Agreement.


Part 1: Terms of Service

We reserve the right to suspend or terminate accounts for violations of these Terms.

3. User Content and Licenses

User Content Definition: "User Content" includes any photos, videos, albums, messages, or other materials you upload, share, or generate through the Service.

You retain ownership of your User Content but grant Tuli a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, display, reproduce, modify, and distribute your User Content solely as necessary to operate, provide, and improve the Service (e.g., for backups, thumbnails, or sharing with invited collaborators).

By uploading User Content, you represent and warrant that:

Tuli does not claim ownership of User Content but may remove any content that violates these Terms or applicable laws.

4. User-Generated Content Moderation and Safety

7. Intellectual Property

8. Third-Party Services

The Service may integrate with third-party services (e.g., device storage, cloud backups). Your use of such services is subject to their terms, and Tuli is not responsible for them.

You may stop using the Service at any time. We may suspend or terminate your access for violations, with or without notice. Upon termination, your account and User Content may be deleted, except as required by law.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee uninterrupted or error-free operation.

User Content is shared at your own risk; Tuli is not liable for disputes between Users or loss of data.

11. Limitation of Liability

To the fullest extent permitted by law, Tuli, its affiliates, and personnel shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, even if advised of the possibility.

Our total liability shall not exceed $100 or the amount you paid us in the preceding 12 months, whichever is greater.

12. Indemnification

You agree to indemnify and hold Tuli harmless from claims arising from your User Content, violations of these Terms, or use of the Service.

13. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the State of Delaware, USA, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the state or federal courts in Delaware.

14. Miscellaneous

This Agreement constitutes the entire agreement. If any provision is invalid, the rest remains enforceable. No waiver of any term is a continuing waiver. You may not assign this Agreement without our consent; we may assign it freely.
